These Terms of Service (“Terms”) govern your access to and use of the website and online services operated by Canada Paywall at https://canadapaywall.com and related URLs we control (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility & accounts
You must be at least the age of majority in your province or territory of residence (or have verifiable parental or guardian consent where required) to enter into binding transactions through the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at sales@canadapaywall.com if you suspect unauthorized access.
2. Changes to the Services or Terms
We may modify the Services or these Terms at any time. We will post updated Terms on this page and revise the “Last updated” date. Material changes may require additional notice under applicable law. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms, except where your express consent is required.
3. Description of the Services
The Services may include marketing and informational content, account registration, domain search and registration flows, billing or invoicing tools, payment initiation, and related features as described on the site. Specific offerings, availability, and pricing are as stated at the time of order. We may add, change, or discontinue features with reasonable notice where practicable.
4. Third-party services
Parts of the Services rely on or link to independent third parties, including without limitation payment processors (such as Stripe), domain registries and resellers (such as OpenSRS/Tucows), hosting providers, and address or mapping providers (such as Google). Your use of those services may be subject to their separate terms and privacy policies. We are not responsible for third-party services we do not control.
When you complete a payment through a third-party checkout, your payment relationship is primarily with that processor and your card issuer, subject to the processor’s terms.
5. Domain registration & WHOIS
Domain registration involves third-party registries and accreditation policies. You are responsible for accurate registrant data and for compliance with registry, registrar, and ICANN rules (including WHOIS accuracy obligations and renewal or redemption fees). We facilitate registration through our suppliers; we do not guarantee availability of any domain name until registration is confirmed.
6. Acceptable use
You agree not to:
- Use the Services in violation of law or third-party rights;
- Attempt to gain unauthorized access to systems, accounts, or data;
- Interfere with or disrupt the integrity or performance of the Services;
- Use the Services to distribute malware, conduct phishing, or send unsolicited bulk communications in violation of anti-spam laws;
- Scrape, harvest, or automate access to the Services in a manner that impairs stability or bypasses rate limits or authentication, except as permitted by a written agreement with us;
- Misrepresent your identity or affiliation, or submit fraudulent payment or registration information.
We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to the Services or other users.
7. Fees, taxes, and payments
Fees are quoted in the currency and terms shown at checkout or in your order summary. You are responsible for applicable taxes unless stated otherwise. Refunds, chargebacks, and payment disputes are handled in accordance with the applicable payment processor’s policies and any specific refund policy we publish for the product purchased.
8. Intellectual property
The Services, including software, text, graphics, logos, and layout, are owned by Canada Paywall or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal business purposes. You may not copy, modify, distribute, sell, or lease any part of the Services except as expressly permitted by us in writing.
9. User content
If you submit content to the Services (such as support messages or form entries), you represent that you have the rights to do so and that the content is accurate to the best of your knowledge. You grant us a license to use that content as needed to provide and improve the Services, comply with law, and resolve disputes.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Some jurisdictions do not allow certain disclaimers; in those jurisdictions, disclaimers apply only to the extent permitted by law.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CANADA PAYWALL OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100), IF NO SUCH PAYMENTS APPLY.
Certain jurisdictions do not allow limitation of liability for gross negligence, willful misconduct, or personal injury caused by negligence; in those cases, our liability is limited to the extent permitted by law.
12. Indemnity
You will defend, indemnify, and hold harmless Canada Paywall and its personnel from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of third-party rights, except to the extent caused by our willful misconduct.
13. Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services with or without notice if we reasonably believe you have breached these Terms, if required by law, or if we discontinue the Services. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.
14. Governing law & disputes
The legal entity operating the Services is organized under the laws of the State of Delaware, United States. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles that would apply the laws of another jurisdiction (except where mandatory rules of your jurisdiction cannot be waived by contract). You agree that the state and federal courts located in Delaware, United States, shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, subject to those mandatory consumer or other protections.
15. General
These Terms constitute the entire agreement between you and Canada Paywall regarding the Services and supersede prior agreements on the same subject. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
16. Electronic communications
You consent to receive communications from us electronically (for example, email or notices posted on the Services). You agree that electronic agreements and records satisfy any legal requirements that such agreements or records be in writing.
